Director Disqualification case study: No proceedings commenced after NDP representations

A director faced the prospect of disqualification over allegations of a £500,000 tax liability

Our client faced the prospect of Director Disqualification under the Company Directors Disqualification Act 1986, following a serious allegation by the Insolvency Service linked to approximately £500,000 of unpaid tax liabilities owed to HMRC by a company of which he had been a director.

This case study explains the allegation, the context in which the tax liabilities arose, the steps our client took during his period of involvement, the representations we made to the Insolvency Service, and the positive outcome: no disqualification proceedings were commenced and the matter was concluded without further action.

The allegation and the background

The Insolvency Service’s allegation centred on substantial unpaid tax liabilities owed by the company. Our client had been a director for a defined and relatively short period. From the outset, our work focused on establishing an accurate and contextual account of his involvement.

The evidence demonstrated that our client was not in office when the majority of the tax liabilities accrued. The bulk of the debt pre‑dated his appointment and therefore fell outside his managerial responsibility.

Our client’s conduct during his tenure

We were able to show that, during his time as director, our client adopted a responsible and proactive approach to the company’s financial difficulties. This included:

  • engaging openly and constructively with HMRC
  • entering into communications aimed at addressing arrears
  • working towards implementing realistic repayment arrangements

These actions reflected a genuine intention to improve the company’s financial position and ensure compliance with its statutory obligations.

Steps taken to protect the company and its creditors

Our client also took decisive steps to safeguard the company’s future viability. Recognising the limitations of the existing financial position, he facilitated the sale of his shareholding to a third‑party investor who had indicated a commitment to injecting capital and addressing the outstanding liabilities.

This demonstrated clear commercial judgment and an effort to place the company in a stronger position to meet its obligations.

NDP’s representations to the Insolvency Service

Our team, led by solicitor Hayden Mellowship, presented detailed written representations supported by documentary evidence and a clear timeline of events. These showed that our client had acted:

  • in good faith
  • with due diligence
  • in the best interests of creditors

We also emphasised that there was no evidence of misconduct, mismanagement or neglect that could justify a finding of unfitness.

Outcome: no disqualification proceedings commenced

Following a full review of the evidence, the Insolvency Service accepted our client’s position in full. It concluded that:

  • our client was not responsible for the circumstances leading to the tax debt
  • their conduct did not fall below the required standard
  • no disqualification proceedings would be commenced

The matter was formally concluded without further action.

What this case shows

Our default position is always that the Insolvency Service is a stranger to the full details of a case such as this at the outset. It is our job to talk in detail to the director to get a clear and accurate picture of what really happened so that we can make the appropriate representations to the Insolvency Service. Well‑supported representations can ensure that directors are not pursued where the evidence does not justify proceedings.

This outcome highlights the importance of:

  • Taking early specialist legal advice
  • clear evidence
  • accurate timelines
  • proactive engagement with HMRC and the Insolvency Service
