NDP successfully defends Director Disqualification proceedings at Trial in a Landmark Victory. The High Court rules no misconduct by the Director.
At NDP, we take pride in delivering outstanding results for our clients, as these testimonials show. A recent success in a Director Disqualification case at final hearing is a testament to that, with our client saying:
“NDP did a stellar job throughout the case.”
Director Neil Davies and Solicitor Tom Clinton worked on the case which led to a Director overcoming allegations of serious impropriety made against him. The Judge found the Unfit Conduct allegations to have been made without sufficient evidential basis. We had invited the Secretary of State for Business and Trade (‘SOS’) as Claimant to withdraw the case before Trial. The SOS via the Insolvency Service (‘IS’) did not do that. Instead, the Trial proceeded.
Outcome of this Director Disqualification case
The Court agreed our conclusion. The IS case was dismissed. This was a case that should never have got to a contested final hearing. As a result of the Trial outcome, our client can continue to be a Director and be involved in the management of a limited company without inhibition.
A Complex and Challenging Case – What was Alleged?
The IS alleged in this case that the client:
‘failed to ensure that [Company] complied with its obligations under its contract with the Education & Skills Funding Agency, (in particular pursuant to clause 5 of that agreement which, among other things, required [the Company] to record and maintain up to date information about the Apprenticeship Training, being the ‘ESFA Apprenticeship Agreement for Training Providers’. As a consequence, [the Company] submitted inaccurate and unsupported funding claims to the detriment of the ESFA who suffered a net loss of £[447k+] and it was further discovered that the ESFA had made an overpayment of £[40k+] …’
Overview
Director Disqualification Investigations (‘DDI’) and Director Disqualification Proceedings (‘DDP’) can have serious consequences, including banning individuals from holding directorial positions and being involved in the management (very widely defined), promotion and/or formation of a limited company for between 2 to 15 years, without the prior Permission of the Court.
Our client here faced allegations of directorial misconduct that threatened his professional reputation and future career. We meticulously interrogated the evidence relied upon by the SOS. We obtained third party evidence. That work enabled NDP to construct legal arguments and deploy Defences which proved successful at Trial.
DDI and DDP are in our experience most suited to allegations of Unfit Conduct that are on the face of it, more easily proved (at least on the face of it) such as (for example):
- Failing to keep, maintain, preserve and/or deliver up company records to the Liquidator of the company.
- Failure to comply with statutory obligations such as to file Tax Returns or failing to pay due Tax.
That is not to say that more complex allegations are incapable of successful pursuit by the IS in DDI – anything but. The IS must however be very clear and precise in what is alleged against the Director. The IS owes a duty of fairness to Directors. The Director is entitled to know the case he/she has to answer.
Remember: Every case turns on its own particular and unique facts.
This Case
This case involved, however, an allegation of the Director failing to comply with contractual obligations of his company. This is a not an uncommon case, where the IS relies on complaints made by another Government Agency, here the Education, Skills Funding Agency (‘ESFA’) where the underlying factual basis of the allegations was hotly contested by the Director that involved a consideration and examination of complex, factual issues. All in all, a much more difficult and problematic case for the IS to successfully pursue in the context of DDP.
Defence of ESFA Cases
We have historically (successfully) represented Directors in other cases brought by the IS that relied on allegations made by the ESFA and other Government Agencies. We have long questioned whether such cases are appropriate to be pursued in the Director Disqualification arena, relying as they often must do on third party evidence to support an already factually difficult case.
Expert Legal Strategy
At NDP, we understand that every case is unique, requiring a tailored approach. Neil and Tom as ever listened carefully to the Director client, conducted an in-depth review of the allegations, identifying inconsistencies and weaknesses in the SOS’s case. Evidence from third parties was obtained. Matched with the meticulous preparation and persuasive advocacy of James Saunders of Counsel at Trial, we were able to effectively demonstrate to the Court that there was no misconduct proven on the facts (or at all).
Director Evidence
Ensuring that the Director’s case was completely explained in his written evidence, was vital. As with most litigation cases, ensuring that Witness Statements were exhaustive on key issues, was vital to the outcome.
A Landmark Victory
The SOS got it wrong here, according to the Court. The Disqualification claim was dismissed, the SOS was ordered to pay our Director client’s costs of defending the claim and our client can now continue to be a Director without impediment.

What Our Client Said
The client was understandably pleased as he was relieved with the successful outcome. His Defence to the Misconduct claim was at all times considered strong, and the client felt vindicated upon Judgment being handed down in his favour. He said:
‘NDP did a stellar job throughout the case, from the point I instructed them to help me prepare evidence to oppose the Secretary of State’s claim all the way through to the end of the case. Trial was an arduous process, however Neil, Tom and James [Saunders, Counsel] were incredibly knowledgeable and supportive all the way through.’

A Fresh Pair of Eyes – What Outcomes Might be Achieved?
This case is one of many we are asked to look at, where the client already has Solicitors on board and in place. We reviewed the case. It may be that on a review we have nothing further to add and if so, we will tell you that. Often however we do take cases over from other Solicitors and add real value to the matter, achieving one or more of the following outcomes:
- An abandoned IS investigation (perhaps because of a Meeting with the IS). The potential benefits of a meeting should not be underestimated.
- A lower period of Director Disqualification achieved by negotiation with the IS, than that offered.
- An abandoned Director Disqualification case (for example where proceedings have already been issued).
- A successful outcome at final hearing (as in this case).
- A successful Permission to Act application by the Director, post disqualification.
The lower the period of disqualification, the more likely that a Court will be to grant a well-presented Permission application, albeit subject to conditions.
- Avoiding or limiting the financial impact of a Director Disqualification Compensation Order (‘DDCO’) against the Director.
